These Terms of Business ("Terms") govern all services provided by TecSecSolution Ltd ("TecSecSolution", "we", "us", "our")
to the Customer ("you", "your"). By engaging our services, you agree to be bound by these Terms.
1. Definitions
Services: IT support, cybersecurity, VoIP, connectivity, cloud services, hardware supply, and consultancy.
Equipment: Any hardware, software, or systems supplied, leased, or installed.
Order Form: Any signed or accepted agreement confirming Services.
Minimum Term: The agreed contract duration.
Fees: All charges payable by the Customer.
2. Formation of Contract
- A contract is formed upon acceptance, instruction, or commencement of Services.
- All contracts are legally binding once agreed.
- TecSec reserves the right to accept or reject any order.
- Credit checks may be carried out at any time.
3. Services
- Services are provided with reasonable skill and care.
- No guarantee of uninterrupted, secure, or error-free service.
- Timelines are estimates only.
- Services may rely on third-party providers.
- Performance depends on external factors outside our control.
4. Customer Obligations
- Provide full cooperation, access, and infrastructure.
- Ensure no unauthorised interference with systems.
- Responsible for employees, contractors, and third parties.
- Must not resell Services without written consent.
5. Installation & Access
- Provide safe access and working conditions.
- Ensure power, cabling, and network readiness.
- Missed appointments may incur charges.
6. Equipment
- Risk passes on delivery.
- Ownership remains with TecSec until paid in full.
- Loaned equipment remains TecSec property.
- Customer liable for damage, loss, or misuse.
- Warranty up to 12 months unless misuse.
7. Third-Party Services
- Services may involve third-party providers.
- Separate agreements may apply.
- TecSec is not liable for third-party failures or outages.
8. Fees & Payment
- Fees are defined in the Order Form.
- Late payments incur interest and service suspension.
- Additional or out-of-scope work is chargeable.
9. Additional Work
- Includes customer-caused faults, changes, or emergency work.
- Charged at standard TecSec rates.
10. Term & Termination
- Contracts run for a Minimum Term (typically 36–60 months).
- Auto-renew monthly after term.
- Early termination requires full remaining contract value.
- Cancellation before installation may still incur charges.
- TecSec may terminate for breach or non-payment.
11. Limitation of Liability
- No liability for loss of profit, data, or business interruption.
- No liability for indirect or consequential losses.
- Liability capped at 12 months' Fees.
12. Data & Cybersecurity
- Customer responsible for backups and compliance.
- No system is completely secure.
- Cybersecurity services must be explicitly agreed.
13. Service Levels
- SLAs are targets only.
- Credits are discretionary.
14. Force Majeure
TecSec is not liable for events outside its control.
15. Use of Services
- Services must not be used unlawfully.
- No interference with systems or networks.
- Breach may result in suspension.
16. Intellectual Property
All systems, designs, and materials remain TecSec property.
17. Non-Solicitation
Customers may not employ TecSec staff during the contract and for 12 months after termination.
Breach incurs a 12-month salary fee.
18. Assignment
Customers may not transfer agreements. TecSec may assign freely.
19. Notices
All notices must be provided in writing.
20. Variation
TecSec may update these Terms at any time.
21. Governing Law
These Terms are governed by the laws of England and Wales.
22. Entire Agreement
This agreement overrides all prior discussions or representations.
23. General Provisions
- No waiver unless in writing.
- Invalid clauses do not affect remaining Terms.
- Pricing reflects risk allocation.
24. Enforcement
The Customer agrees these Terms are fair, reasonable, and represent a genuine allocation of risk in a business-to-business context.
